2.Where is the company incorporated?
 Bioverativ is incorporated in the State of Delaware.
3.When did Bioverativ spin-off from Biogen? What was the share distribution ratio?
 The Company’s spin-off from Biogen occurred on February 1, 2017 and involved a distribution of 100 percent of the Company’s common stock to Biogen stockholders of record as of January 17, 2017, the “distribution.” The share distribution ratio was 1 share of common stock of the Company for every 2 shares of common stock of Biogen.
4.Was the spin-off a tax free event for investors?
 Except for any cash received in lieu of a fractional share, we anticipate that a U.S. stockholder generally will not recognize any income, gain or loss as a result of the receipt of the Company’s common stock in the distribution. For more information about the tax consequences of the spin-off, see “U.S. Federal Income Tax Consequences” in our Form 10 Amendment No. 4 filed December 20, 2016.

6.Does Bioverativ plan to pay dividends?
 Bioverativ does not pay a regular cash dividend. The payment of any dividends in the future, and the timing and amount thereof, is within the discretion of Bioverativ’s board of directors.
7.Can I purchase shares directly from the company?
 No, Bioverativ does not have a direct stock purchase plan. Shares may be purchased through a financial services provider of your choice.
